Wix Marketing Tools Terms of Service

1.

These Wix Marketing Tools Terms of Service (hereinafter referred to as, these "Marketing Tools Terms") are a legal agreement by and between Wix.com Ltd. (hereinafter referred to as “Wix” or with "us" or "we") and each user of the Marketing Tools Services (hereinafter referred to as “you” or as a “user” and with “your”) and set forth the terms and conditions that will govern your use of any software, integration, application functionality or services provided on the Wix website and referred to in these Marketing Tools Terms (“Marketing Tools Service(s)”).

These Marketing Tools Terms are in addition to and should be read together with the Wix Terms of Use (https://www.wix.com/about/terms-of-use) which are hereby incorporated by reference and which govern your use of the Wix Website (www.wix.com), the Wix mobile application and any other services, applications and features offered by us with respect thereto, except where we explicitly state otherwise. Collectively, the “Wix Terms of Use”, and these “Marketing Tools Terms” shall be referred to as the “Wix Terms”. Capitalized terms, unless otherwise defined, shall have the meaning ascribed to them in the Wix Terms of Use.

By using any Marketing Tools Services, you agree to be bound by the Wix Terms. Your purchase, access or use of the Marketing Tools Services shall constitute your acceptance of the Wix Terms.

4.

In the event of any contradiction or inconsistency between these Marketing Tools Terms and the Wix Terms of Use and Privacy Policy, these Marketing ToolsTerms shall prevail. You agree to review the Wix Terms periodically to be aware of such modifications and your continued access or use of the Marketing Tools Services shall be deemed your conclusive acceptance of the modified terms.

UNLESS OTHERWISE SPECIFICALLY MENTIONED WITHIN THESE MARKETING TOOLS TERMS, BY CONNECTING WITH ANY THIRD-PARTY SERVICE PROVIDER OFFERED WITHIN THE WIX MARKETING TOOLS SERVICES, YOU AGREE TO BE BOUND BY THE THIRD-PARTY SERVICE PROVIDER TERMS OF USE, POLICIES AND GUIDELINES, AND REVIEWED THE THIRD-PARTY SERVICE PROVIDER’S PRIVACY POLICY BEFORE CONNECTING. WIX ISN’T LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM SAID USE, INCLUDING ANY LIABILITY THAT MAY ARISE FROM PERSONAL DATA EXCHANGED BETWEEN YOU AND THE THIRD PARTY.

YOU ARE RESPONSIBLE FOR UNDERSTANDING AND COMPLYING WITH ALL APPLICABLE LAWS, RULES, AND REGULATIONS AND DETERMINING WHETHER THE MARKETING TOOLS SERVICES ARE SUITABLE FOR YOU IN LIGHT OF SUCH LAWS, RULES, AND REGULATIONS.

7. Renewing Paid Services

7.1

Some Marketing Tools Services shall constitute a Renewing Paid Service, as such term is defined in Wix Terms. The provisions of section 6 “Service Fees” in the Wix Terms of Use shall apply to your purchase of a Renewing Paid Service, unless explicitly stated otherwise herein.

7.2

Unless you disable the autorenewal of your Renewing Paid Service as set forth below, such Renewing Paid Service will automatically renew upon the end of the applicable subscription period, for a renewal period equal in time to the original subscription period (excluding extended periods) and, unless otherwise notified to you, at the same price (subject to applicable Tax changes and excluding any discount or other promotional offer provided for the first period). If you wish to disable auto-renewal you can do so by (i) disabling auto-renewal in your Premium Subscription page or (ii) pausing all of your active campaigns.

7.3

Please note that in the event you disable the autorenewal of your Renewing Paid Service, you will remain bound by the Wix Terms for as long as you have active campaigns.

7.4

When creating an advertising campaign through a Renewing Paid Service within the Marketing Tools Service, you will be asked to select a package based on your required Ad Credits budget, for your advertising campaign. You agree to pay the amount selected and your credit card will be charged automatically for this amount in its entirety on a monthly basis. If you disable the autorenewal of your Renewing Paid Service and you still have remaining Ad Credits in your balance, your active campaign will continue to spend Ad Credits until the earlier of (i) the complete end usage of your Ad Credits budget or (ii) pausing your campaign. If your ad was rejected by the third party service provider, you may contact Wix support at any time via your Wix account or by visiting Wix Help Center, to inquire about a refund, which may be granted by Wix in its sole discretion.

7.5

Wix may, in its sole discretion, provide you with a discount, voucher, coupon or other benefit similar in nature (“Discount”), which shall automatically become void upon cancellation of a Renewing Paid Service or cancellation or rejection of any Ad or campaign to which the Discount applied, for any reason.

8. Money-Back Guarantee

8.1

When purchasing a Renewing Paid Service, the Refund Period is fourteen (14) days following your initial purchase or activation of the Renewing Paid Service; and when purchasing one-time Ad Credits, the Refund Period is fourteen (14) days following your purchase of such Ad Credits (“Refund Period”). Notwithstanding Section 6.4 in the Wix Terms of Use, during the Refund Period, you shall be entitled to receive a Refund only for any unused portion of your Ad Credits. The Refund is not applicable to any additional purchases, upgrades, modifications or renewals of Renewing Paid Service.

9. Expiration of Ad Credits

9.1

When purchasing a Renewing Paid Service and/or other paid Marketing Tools Services, including but not limited to any one-time purchases or Marketing Tools Services (“Paid Services”) you will receive ad credits redeemable for Facebook Ads Service and/or Google Ads Service (“Ad Credits”).

9.2

As for each of Google Ads Services and Facebook Ads services, separately: Any unused Ad Credits you may have remaining in your balance, will expire upon the lapse of the respective Inactive Period. Inactive Period shall mean any period of 90 consecutive days in which no campaign is active.

9.3

Once expired, any unused Ad Credits will no longer be valid, and you will not be able to redeem these Ad Credits in any Marketing Tools Services. Expired Ad Credits are non-refundable.

9.4

It is your responsibility to utilize the Ad Credits before they expire. Wix is not liable for any expired Ad Credits.

10. Facebook Ads Service

10.1

The Facebook Ads Service allows you to purchase Ad Credits and create, manage and optimize your Facebook and Instagram ads campaign, all from your Wix account (“Facebook Ads Service”). Through our Facebook Ads Service we will assist you in creating your campaign, setting up target audiences, showcasing your products and optimizing your budget allocation.

10.2

By using the Facebook Ads Services, you also agree to comply with Meta’s Terms, including Advertising Policies, Terms of Service, Commercial Terms, and Business Tools Terms (“Meta’s Terms”).

10.3

By using the Facebook Ads Services, you are giving Wix permission to install the Facebook pixel on your Site on your behalf (see section 11‎ below).

10.4

If you do not comply with both Meta's Terms and Wix Terms any of the following actions may be taken: (1) your ad might be rejected by Facebook or Wix; (2) we might, in our sole discretion, revoke your ability to use the Facebook Ads Service and other Marketing Tools Services; and/or (3) we might suspend or terminate your Wix account.

10.5

During the subscription period, we recommend that you do not modify your pixel or Wix’s management preferences on your Business Page at any time since it may affect your ad or campaign.

11. Facebook Pixel

11.1

To use the Facebook Ads Services to create and place marketing ads on Facebook or Instagram, your website must be connected to your Wix account (“Site”). When you use the Facebook Ads Service, you permit Wix to enable or access the Facebook Ppixel on your Site. A Facebook Pixel consists of a Javascript snippet deployed on your Site. These tracking technologies facilitate the placement of your advertising campaigns on Facebook and Instagram and enable Wix to provide reporting to you about the performance of your advertising campaigns.

11.2

You represent and warrant that your Site adequately discloses the use of tracking technologies, such as cookies and pixels, used by your Site in a Privacy Policy, Cookie Policy, or other disclosure and informs visitors to your Site that information collected by these technologies may be transferred to Wix and third parties you integrate with by using Marketing Tools Services.

12. Facebook Business Page Manager

12.1

In order to provide you the Facebook Ads Service, you will need to appoint Wix a manager of the Facebook business page selected by you through the Facebook Ads Service (“Business Page”). You hereby represent and warrant that; (i) you have the authority to provide the relevant authorizations hereunder; and (ii) you authorize Wix to be a manager of the Business Page.

13. Google Ads Service

13.1 General

The Google Ads Service allows you to purchase Ad Credits and create, manage and optimize your Google Ads campaign, all from your Wix account (“Google Ads Service”). Through our Google Ads Service we will assist you in creating your campaign, setting up campaign keywords showcasing your products and optimizing your budget allocation.
By using the Google Ads Services, you also agree to comply with Google’s Terms, including Google Ads Terms of Use and Google Ads Policies (“Google’s Terms”).
You must make sure that all information you publish and/or provide through Google Ads Service is accurate, current, and complete.
You acknowledge that Google has the right to ask Wix for users information (including account activation date, business name or email address). By using the Google Ads Service, you give Google the permission to contact you, so you may receive communications from Google concerning your ads.
Google and/or Wix may (at their sole discretion) make available promotional offers. These offers will be performed according to Google’s policies and guidelines, and might require a minimum initial payment prior to creation of ads account and/or ads.
If you do not comply with both Google’s Terms (including the Google Advertising Policies) and Wix’ Terms, any of the following actions may be taken: (1) your ad might be rejected by Google or Wix; (2) you will be request the edit and/or fix the ad; (3) we might, in our sole discretion, revoke your ability to use the Google Ads Service and other Marketing Tools Services; and/or (3) we might suspend or terminate your Wix account.
By using the Google Ads Services, you are giving Wix permission to install the Google Tag on your Site on your behalf (see section ‎13 below).

13.2 Google Ads Service; Pay-As-You-Go

Pay-As-You-Go

As part of the Google Ads Service, Wix may offer you the option to pay only for actual Campaign Usage (as defined below), rather than by purchasing Ad Credits in advance (the “Pay-As-You-Go Option”).

“Campaign Usage” means the actual number of valid clicks on your Google Ads campaign, as measured and reported by Wix and/or Google, during a given billing cycle. Campaign Usage expressly excludes invalid activity, as determined in accordance with Google’s policies.

Ad campaigns may be subject to a maximum spend amount (the “Cap”), which is predefined by Wix and/or Google and communicated to you within the campaign creation flow. Wix and/or Google will automatically pause your campaign once your Campaign Usage reaches the Cap, as recorded by Wix and/or Google. You acknowledge that there may be a slight delay between reaching the Cap and the actual pause of your campaign due to real-time processing and reporting constraints.

You acknowledge that all determinations of valid clicks, invalid activity, and final billing are made by Google and/or Wix, and Wix is not liable for any invalid activity or traffic as determined by Google.
Billing and Payment

If you use the Pay-As-You-Go Option, you hereby authorize Wix to charge your saved payment method on a monthly basis for: (a) your Campaign Usage accrued during the billing cycle up to the Cap; (b) the applicable Wix service fee, as indicated in your Google Ads Service dashboard (“Wix Service Fee”) and (c) applicable taxes, conversion fees and related charges.

It is your sole responsibility to ensure that your payment method remains current and valid; non-payment may result in suspension or termination of the Google Ads Service or your Wix account, in accordance with the Wix Terms.
Pausing Campaigns and Accrued Charges

You may pause your active campaign at any time through your Wix account. Upon pausing a campaign or the system automatically pausing your campaign due to reaching the predefined Cap, you remain liable for all Campaign Usage and the Wix Service Fee accrued up to and including the date of such pause, which will be billed to you in the following billing cycle.
Non-Refundable Charges; Disputes

All payments collected under the Pay-As-You-Go Option are final and non-refundable, except as required by applicable law. Section 8 “Money Back Guarantees" does not apply to the Pay-As-You-Go Option.

You must notify Wix of any disputes regarding Campaign Usage charges within thirty (30) days of the charge or statement date, by contacting Wix customer support. Failure to do so will constitute your acceptance of such charges. Wix will investigate bona fide disputes submitted and might make adjustments in its sole discretion if an error is found.
Miscellaneous

All other provisions of these Marketing Tools Terms and the Wix Terms of Use continue to apply to your use of the Pay-As-You-Go Option, except where expressly stated otherwise in this Section.

14. Google Tag

14.1

To use the Google Ads Services to create and place marketing ads on Google, your website must have a Google Tag installed. When you use the Google Ads Service, you permit Wix to install the Google Tag on your Site on your behalf. Google Tag lets you send data from your website to your linked Google ads account that shares configuration with, and receives data from, the Google Tag, to help you measure the effectiveness of your website and ads.

14.2

You represent and warrant that your Site adequately discloses the use of tracking technologies used by your Site in a Privacy Policy, Cookie Policy, or other disclosure required by law and informs visitors to your Site that information collected by these technologies may be transferred to Wix and third parties you integrate with by using Marketing Tools Services.

15. Google Performance Bonus

15.1

By using the Google Ads Services through our platform, you acknowledge that Wix (a) is participating in Google’s advertising incentive programs, and (b) may be compensated by Google as described in Google’s Help Center. In its sole discretion, Google reserves the right to review your activities to ensure that you meet the requirements of qualified advertisers and disqualify you if you do not.

15.2

Google, in its sole discretion, reserves the right to disallow you from being activated or served through Wix, even after initially accepting you as an advertiser through our Google Ads Services.

16. Data Transfer

16.1

Certain features that are part of the Marketing Tools Services, such as the custom audience option, allow you to transfer data to third parties (in example, Facebook). The data that may be transferred through the custom audience feature may consist of personal information, like your Contacts’ email addresses stored in your Site. For example, if you use the Facebook Ads Service, the enabled Facebook Pixel will allow Facebook to collect data on visitors for the purposes of creating a custom audience and serving the retargeting ads.

16.2

If you choose to pass data to a third party, you represent and warrant that you have the right to use the data in such a manner and that you have secured permission from any individuals whose data will be transferred to that third party. You further acknowledge and agree that you are the party transferring data to a third party and that such data is being passed directly from you to the third party.

16.3

Third party integrations offered through the Wix Marketing Tools Services are not affiliates, partners, agents, or representatives of Wix. You understand and agree that Wix is an independent third party and has no right, responsibility, or ability to control, direct, or influence any action, inaction, conduct, or decision made by any third party.

17. Your Obligations

17.1

You are solely responsible for your business’ products and services (the "Products and Services") and any other promotions and content contained or referred to in your ads launched through the Marketing Tools Service.

17.2

You are solely responsible for providing the Products and Services and to run your campaigns in a safe and professional manner, consistent with industry best practices, including keeping reliable records.

17.3

You are solely responsible for any and all statements and promises you make and for all customer assistance, warranty and support of the Products and Services and to comply with any statements you make to your customers.

17.4

Although we have no obligation to monitor the content provided by you or your use of the Marketing Tools Services, we may do so and may block any ads, remove any content, or prohibit any use of the Marketing Tools Services that we believe may be in violation of law or any other provision of the Wix Terms, including without limitation due to any suspected fraudulent activity, in our sole discretion. You further understand and agree that we and any third party who supports, posts, publishes or distributes your ads, content or otherwise provides services also has the right to reformat, edit, monitor, reject, block or remove any of your ads and suspend or terminate the Service, in whole or in part, permanently or for a certain period. In no case will the foregoing make us responsible or liable for compliance with any such laws or obligations, for which you remain solely responsible and liable.

18. No Warranties or Guarantees

18.1

In addition to the provisions of the Wix Terms of Use, it is hereby specifically reiterated that the provision or use of the Marketing Tools Services and/or any of its derivative features does not guarantee you a successful campaign, website, business, any profit, revenue, savings, sales, business opportunities or otherwise success.

18.2

Website, content and design reviews are uncertain processes, based on, among others, information received by you, past experiences, currently available information and resources. You hereby acknowledge that any ad or campaign depends on various factors that are not in our control, and that no software, service or review can guarantee a successful ad or campaign. Therefore, you hereby agree there can be no assurance that any of our design, content, suggestions or business reviews will identify all possible opportunities or propose exhaustive and viable recommendations to help you optimize your online marketing campaigns.

18.3

Additionally, you hereby acknowledge and agree that We cannot guarantee the approval of your campaigns within a specific timeframe, or at all.

18.4

We or the applicable third-party service provider may terminate or suspend the Service or a certain ad, respectively, at any time, with or without cause, all in accordance with the respective third party terms.

Facebook Ads Service and Google Ads Service are unique integrations offered to Wix Users, separate and distinct from other similar offerings publicly available by Facebook and Google. Wix makes no guarantee that the Wix Marketing Tools Services are similar or identical to other offerings made available by Facebook and Google.
