Wix App Market Terms of Use

Welcome to Wix Application Market!

These Wix App Market Terms of Use (hereinafter referred to as, these "App Market Terms") are a legal agreement by and between Wix.com Ltd. (hereinafter referred to as “Wix” or with "us" or "we") and each end user (“User” or “you”) and set forth the terms and conditions that will govern your use of any software application functionality or services provided by Wix through Wix’s application marketplace (hereinafter the “App Market”) and of each mobile application made available from the App Market (hereinafter referred to herein as an “App(s)”). Please note that these App Market Terms are in addition to and should be read together with the Wix Terms of Use which are hereby incorporated by reference and which govern your use of the Wix Website (www.wix.com), the Wix mobile application and any other services, applications and features offered by us with respect thereto, except where we explicitly state otherwise. Collectively, the Wix Terms of Use and these App Market Terms shall be referred to as the “Wix Terms”. Capitalized terms, unless otherwise defined, shall have the meaning ascribed to them in the Wix Terms.
By using the App Market, you agree to be bound by the Wix Terms. Your purchase, access or use of the App Market shall constitute your acceptance of the Wix Terms.
In the event of any contradiction or inconsistency between these App Market Terms and the Wix Terms and Wix Privacy Policy, these App Market Terms shall prevail.
The App Market offer Users the opportunity to license and then access and install Apps for use with the website services that Wix offers. Many of the Apps are developed, offered, provided, and licensed to you by third party developers or licensors (with such entities hereinafter referred to collectively as “Third Party Developers”). Apps offered and provided by Wix (“Wix App(s)”) shall be expressly noted, with all other Apps offered and provided by Third Party Developers (“Third Party App(s)”). Third Party Apps shall be deemed ‘Third Party Services,’ as such term is defined in the Wix Terms of Use.
Wix shall own all right, title and interest in and to the App Market and Wix Apps, including without limitation all applicable intellectual property rights in the Wix Apps, and these shall be regarded as Services according to the Wix Terms of Use.
Third Party Developers shall own all right, title, and interest in and to the Third Party Apps offered, including without limitation all applicable intellectual property rights in the Third Party Apps.
Third Party Apps allow access to certain third party services, including, without limitation, API platforms, marketing and advertising services, social network platforms, publication and delivery services, e-commerce services, and other services. In connection with utilizing any Third Party Apps, please note that you may need to accept additional updates or upgrades to certain Apps from time to time in order to continue your use of the App or use of the App through the App Market.
When utilizing any Third Party Apps, you warrant that you act in compliance with their terms of use. Please also note that Third Party Apps may collect or use certain data, including personally identifiable information. Please review the privacy policies offered by each Third Party App.
Wix may in its sole discretion provide third party content on the App Market (“Third Party Content”). Such Third Party Content is created, edited, published, maintained and transmitted by third parties. Accordingly, Wix hereby expressly disclaims and shall not have any liability or responsibility for (i) any Third Party Content appearing on the App Market, or (ii) the content, the materials, the accuracy of the information, and/or the quality of the products or services provided by, available through, or advertised on Third Party Content accessible through links in the App Market. Moreover, the Third Party Content does not imply an endorsement by Wix with respect to any third party, any Third Party Content, any website, network, page, or the products or services provided by any third party.
WIX IS NOT AFFILIATED WITH OR RESPONSIBLE FOR THE CONTENT, FUNCTIONALITY OR PERFORMANCE OF ANY APP OFFERED BY A THIRD PARTY AND YOUR USE OF ANY SUCH APP IS AND REMAINS AT YOUR OWN RISK. ALL THIRD PARTY DEVELOPERS ARE INDEPENDENT PARTIES FROM WIX. WIX HAS NO CONTROL OVER AND SHALL THEREFORE ASSUME NO RESPONSIBILITY FOR ANY THIRD PARTY APP AND ITS CONTENT, FUNCTIONALITY, PRIVACY POLICY OR TERMS OF USE , AND AVAILABLE OR RELATED PRODUCTS OR SERVICES. IN NO EVENT SHALL ANY REFERENCE TO ANY THIRD PARTY DEVELOPER OR ANY THIRD PARTY APP OFFERED BY A THIRD PARTY BE CONSTRUED AS ENDORSEMENT BY WIX OF THAT THIRD PARTY, OF THE THIRD PARTY APP, OR OF ANY PRODUCT OR SERVICE PROVIDED BY SUCH THIRD PARTY ON OR THROUGH SUCH APP. PLEASE REVIEW THE PARTICULARS FOR EACH APP IN ORDER TO DETERMINE THE APPLICABLE ENTITY THAT OFFERS, PROVIDES, AND LICENSES THE APP. WIX IS MERELY AN INTERMEDIARY OFFERING THE OPPORTUNITY FOR USERS TO ACCESS AND USE THE APPS, AND ACCESS TO AND USE OF THE APP MARKET SHALL NOT BE CONSTRUED AS MAKING WIX A PUBLISHER, PROVIDER, OR LICENSOR OF ANY APP THAT WIX DOES NOT EXPRESSLY STATE THAT IT OFFERS AND PROVIDED THROUGH THE APP MARKET.

11. Service Fees.

Some Apps require additional fees

11.1

If this is a Wix App, the provisions of section “Service Fees” in the Wix Terms of Use shall apply to your purchase, unless explicitly stated otherwise herein.

11.2

If this is a Third Party App, the Third Party Developer shall apply the fee in effect at the time of download or request to license the App (or one of its features). Wix shall identify or provide notice of the applicable fee at the time of download or request for license. The Third Party Developer might change the fees owned for an App (or one of its features).

12. Payment Terms.

12.1

Apps, whether offered by a Third Party Developer or by Wix, may be provided for with or without a fee. In addition, both Wix and Third Party Developers may impose, in its and their sole discretion, additional conditions or limitations on your access and use of certain Apps. Such additional conditions or limitations shall be identified or provided by notice in connection with each applicable App.

12.2

In the event use of an App requires a certain fee(s), applicable fees or conditions shall be further identified or provided by notice in connection with each applicable App.

12.3

Apps may be billed either directly by the Third Party Developer or through Wix. By installing, or otherwise indicating that you wish to license an App billed by Wix, the provisions of section “Service Fees” in the Wix Terms of Use shall apply to your purchase, unless explicitly stated otherwise herein.

12.4

Where billing for a Third‑Party Developer App is processed through Wix, Wix acts solely as an intermediary/payment collection agent in facilitating and collecting such amounts from you on behalf of the Third‑Party Developer.

12.5

Please note that purchasing of the App is generally final, and no returns, replacements or refunds will be permitted. Wix, however, and in its sole discretion, may refund the purchase of an App if the App does not work properly. Such refund does not and will not include any obligation to issue the same or similar refund in the future.

12.6

Some Apps may offer you the option to pay only for actual usage of the App’s services, rather than purchasing a subscription plan in advance (the “Pay-As-You-Go Option”). By using an App under the Pay-As-You-Go Option, you acknowledge that all determinations of the amount of usage and final billing are made byThird Party Developers and Wix is not liable for any invalid activity or traffic as determined by Third Party Developers.

12.7

Wix may offer to Users sales, credit points, or other promotions that may be utilized in the App Market. Please note that in the event of any promotion, Wix may subsequently modify or discontinue any such promotions at any time. Additional terms applicable to such promotions shall be separately provided with each such promotion, and Wix may otherwise provide notice of any modification by direct communication with its Users or through general announcements offered through the App Market.

12.8

Pricing and availability of any and all Apps remains subject to change at any time in Wix or Third Party Developer’s sole discretion and particularly for changes due to your designated country on your billing account.

12.9

The App Market shall identify the then current fee, availability, or applicable terms, conditions, or limitations, at the time of download or access.

12.10

You are solely responsible for the payment of all fees and taxes (in each case, if any) for any App that you obtain from the App Market.

13. Data Collection.

13.1

The use of the App Market and any of the Apps may provide Wix with data relating to the download, use and performance of Apps, as well as information regarding your use of the App and the App Market. See section “Privacy” in Wix Terms of Use and Wix Privacy Policy.

13.2

Please note that any data collection made when using aThird party App will be pursuant to the privacy policy or statement of the provider of such App. Moreover, please note that Wix does not review and is not responsible for the practices of any Third Party Developer. Wix shall not be responsible for the privacy policy or statements of any Third Party Developer. Wix encourages you to read not only the Wix Privacy Policy but also the relevant available privacy policies of Third Party Developers for each of your Apps.

13.3

By installing an App, you hereby acknowledge and agree that you are solely responsible for your own compliance with applicable privacy restrictions, laws and regulations, including for your own use of an App(s) and other data activities you may conduct or may permit third parties to conduct.

14. Termination.

14.1 Termination by Wix.

Wix may, in its sole discretion, at any time, for any reason, and with or without notice: (i) discontinue or remove any App (whether a Wix App or a Third‑Party App) from the App Market; and/or (ii) suspend or terminate the App Market’s or any App’s access to, or use of, any Third‑Party Apps. Any such action may disable or limit certain App features. Wix will have no liability to you for any such action or its consequences.

14.2. Termination by you.

For Apps requiring an on-going subscription or other periodic fee, if you do not wish to continue being assessed a fee for use of the App, you may delete and otherwise stop all use of the App and provide Wix with notice thereof using support@wix.com. Following such deletion and the provision of notice to Wix, you will not be charged further amounts for the App, provided you have notified us before the end of the current billing period. You will not receive a refund for the current billing period.

15. Disclaimer of Warranty.

Except as explicitly stated otherwise, the provisions of the “Disclaimer of Warranty” section in the Wix Terms of Use shall apply to your use of the App Market.

16. Limitation of Liability.

Except as explicitly stated otherwise, the provisions of theof "Limitation of Liability” section in the Wix Terms of Use shall apply to your use of the App Market.

Addendum - Additional Terms for Israeli Users

This addendum to the App Market Terms (the “Addendum”) applies to You if you are a resident of the state of Israel and you use the App Market (in this Addendum “an Israeli User”). In case of any contradiction between the App Market Terms and this Addendum, the terms of this Addendum will govern.

1. License

1.1
The App Market offers Third Party Developers the opportunity to license their Apps to Wix, so Wix can then sublicense these Apps to Israeli Users. As a reseller of these Apps, Wix provides the Apps and related services to Israeli Users.

1.2
Subject to Israeli Users’ compliance with the App Market Terms and this Addendum, Wix hereby grants Israeli Users a limited, non-exclusive, non-transferable, non-sublicensable and revocable sublicense to access and use the Apps for the purpose utilizing Apps on their websites.

1.3
All rights not expressly granted by Wix are hereby reserved. Accordingly, Israeli Users are hereby prohibited from using the Apps in any manner that is not expressly and unambiguously authorized by these App Market Terms and the Addendum. Wix shall own all right, title and interest in and to the Apps (as provided to Wix by the Third Party Developers). The Third Party Developers shall own all the respective rights, title, and interests in and to their Apps offered on the App Market, including without limitation all applicable intellectual property rights in the Apps.

2. Refunds

Section 12 (“Payment Terms”) to the App Market Terms shall be replaced with the following:

Apps, whether offered by Third Party Developers or by Wix, may be provided for with or without a fee. In addition, both Wix and Third Party Developers may impose, in its and their sole discretion, additional conditions or limitations on your access and use of certain Apps. Such additional conditions or limitations shall be identified or provided by notice in connection with each applicable App.

2.2

In the event use of an App requires a certain fee(s), applicable fees or conditions shall be further identified or provided by notice in connection with each applicable App.

2.3

Please note that purchasing of the App is generally final, and no returns, replacements or refunds will be permitted. Wix, in its sole discretion, may refund the purchase of an App if the App experiences a material malfunction that prevents its core functionality, subject to section 3 to this Addendum. Such refund does not and will not include any obligation to issue the same or a similar refund in the future.

2.5

The App Market shall identify the then current fee, availability, or applicable terms, conditions, or limitations, at the time of download or access.

2.9

You are solely responsible for the payment of all fees and taxes (in each case, if any) for any App that you obtain from the App Market.

3. Liability

3.1
As the reseller of the Apps, Wix will provide Israeli Users with a refund, for Apps that experience a material malfunction that prevents core functionality (“Faulty Apps”), all subject to this section 3 to Addendum. Such refund will be limited to the subscription fees actually paid by the Israeli User for the active subscription period of the Faulty App.

3.2

Notwithstanding Section 3(a) above, to the fullest extent permitted by law in each applicable jurisdiction, Wix, its officers, directors, shareholders, employees, affiliates and/or agents shall not be liable to you for any direct, indirect, incidental, special, punitive, exemplary or consequential damages whatsoever, including any damages resulting from (1) errors, mistakes, or inaccuracies of or in any App; (2) any personal injury or property damage related to your use of the Apps; (3) any unauthorized access to or use of our servers and/or any personal information and/or other information stored therein; (4) any interruption or cessation of transmission to or from the App; (5) the use or display of any Content or User Content posted, emailed, transmitted, or otherwise made available via the App; (6) events beyond the reasonable control of Wix, including any internet failures, equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, earthquakes, explosions, acts of God, war, terrorism, intergalactic struggles, governmental actions, orders of courts, agencies or tribunals or non-performance of third parties; (7) loss of use, data, profits, goodwill, or other intangible losses, resulting from the use or the inability to use any or all of the Apps; (8) any changes, modifications, updates, or deprecations to the Wix platform, APIs, or services that render the App incompatible, unstable, or unusable, or any such changes in the App services or functionalities as well; (9) any interaction with, reliance on, or damages caused by third party websites, services, resources, or APIs that are linked to, integrated with, or accessed through the App; (10) bugs, viruses, trojan horses, malware, ransomware, or the like, which may be transmitted to or through the App by any third party; (11) any dispute, conflict, or disagreement between you and any other user of an App, Third Party developer, or third party regarding an App; (12) any failure of the App to comply with applicable laws, rules, or regulations, including but not limited to data privacy, consumer protection, and intellectual property laws; and/or (13) errors, delays, or failures in the processing of payments or financial transactions facilitated by or through the App.

3.3
You acknowledge and agree that these limitations of liability are agreed allocations of risk constituting in part the consideration for Wix’s sublicensing of Apps to you, and such limitations will apply even if Wix has been advised of the possibility of such liabilities.

4. Support

As the reseller of the Apps, Wix is responsible for providing support and service for all Apps offered to Israeli Users, and may request the Third Party Developers to assist in supporting specific cases. In case Israeli Users require any assistance in operating the Apps, or in case Israeli Users wish to make a complaint regarding any App, please contact support@wix.com.
