License and Release
This License and Release (“License and Release”) between Wix.com Ltd. (hereinafter, “Wix”, “us” or “we”) and you (“You”, “your”) set forth the provisions for submitting content (“Licensed Material”) on our platform. By submitting the Licensed Material, You accept and agree to the provisions herein and undertake to comply with any and all applicable federal, state and local laws, rules and regulations.
1. Scope of License
By submitting the Licensed Materials, You grant Wix.com Ltd. (including its respective subsidiaries, affiliates, licensees, successors and assigns) or anyone on its behalf, the right and permission to feature, publish, reproduce, copyright and/or otherwise use in any way, perpetually, worldwide, non-exclusive, sub-licensable, and on a royalty-free basis, the Licensed Materials and your likeness, in whole or in part, and any reproductions or derivatives thereof, in any form, format or medium, including, without limitation, any of the following purposes: (i) in or with respect to any promotional purposes, internet advertisements or broadcasts (including, without limitation, Wix YouTube channel) and/or any other type of promotions distribution channels; (ii) in any of Wix’s websites, products and services, including within Wix Studio Academy, making it available for other visitors of our platform to see and be inspired by it. You also authorize us to feature the Licensed Materials (or any part of it) on our social media platforms and channels, if we choose to do so at our sole discretion, including adding any information provided by You.
2. Representation and Warranty
By submitting the Licensed Materials and any content or information to Wix, You represent and undertake that: (a) all content and information is accurate; (b) that You are the sole owner or right holder of the Licensed Materials, and fully authorized to obtain any and all necessary release, consent and approval to grant Wix the rights in the Licensed Materials as provided herein. YOU FURTHER REPRESENT THAT THE LICENSE HEREUNDER IS GRANTED FREE OF CHARGE, AT YOUR OWN WILL AND INITIATIVE AND AT YOUR SOLE DISCRETION; YOU WERE NOT PROMISED, THREATENED, ENCOURAGED OR OTHWEISE MOTIVATED TO GIVE THIS LICENSE AND YOU ARE WELL AWARE OF ITS CONSEQUENCES.
3. Release
You hereby release, discharge and agree to save harmless Wix and all persons acting under its permission or authority or those for whom they are acting, from any and all claims, liabilities, costs, losses, damages, or injuries of any kind arising out of or related directly or indirectly to the submission and the use of the Licensed Materials.
4. Intellectual Property
All trademarks, copyright and other intellectual property associated with Wix, including, but not limited, to Wix’s platform, products, and/or services, are exclusively owned by Wix.com and You are prohibited from making any unauthorized use thereof.
5. General
We reserve the right to amend these terms at any time. We may accept or decline the submission of the Licensed Materials at our sole discretion. Submissions of Licensed Materials that were accepted may be removed from our platform at any time, at our sole discretion and without prior notice. The specific placement of Licensed Materials that was chosen to be featured may vary from time to time, at our sole discretion.
