Your Part in Starting Your Business

First, make sure you are ready to proceed with your business plan. Schedule your free consultation if you have any questions. If your business requires licensing, be sure you have all the needed licenses applied for. Next, choose a name for your company that is original and memorable for your customers. (Note: Names with initials run the greatest risk of rejection from the Secretary of State because of similarity to other names.)Next, fill out your worksheet and drop it off, mail it, fax it or email it to us along with your payment.Now relax. The rest is in our hands. We will send you information as the process goes, letting you know when you can apply for your tax ID numbers, open a bank account and do business in your corporate name.

How do I incorporate a business? This is one of the most common questions we are asked. Incorporation is not difficult but does have very specific legal steps that need to be followed correctly. An experienced attorney who concentrates in business law can make it almost effortless for you. How do I know what kind of company I need? If you aren't sure whether you need an incorporation or LLC (limited liability company) or if you have questions regarding a non-profit or professional corporation, limited partnership or other business entity, a consultation at Whitmore Law Office can help you determine what is right for your individual situation. How long will it take? In Nebraska: The initial name clearance usually takes 1-2 business days. Filing with the Secretary of State generally takes 4-6 business days after that. When we get your Articles of Incorporation or Certification of Organization back from the Secretary of State, your business is officially running. We mail copies of the documents to you along with a letter giving you information about how to proceed next. We then proceed to finish all of the remaining steps, which includes three weeks of publication. In approximately four weeks you will receive your minutebook with all the required paperwork and original documents. Other states can vary, call for information.After I give you my paperwork, what else do I need to do? When your documents are filed with the Secretary of State, we will send you a file-stamped copy, along with a letter letting you know what to do next. You will also want to open a bank account in the name of your business once your file-stamped documents arrive. You will need your tax ID number to do this. Most businesses will want to get letterhead stationery, business cards, and possibly other advertising materials at this time as well. Do you get my Federal and State tax numbers? We can if you wish. It isn't automatically included because many businesses have accountants who provide that service. It is also very easy to do yourself and we provide the information if you wish to do so. But we are more than happy to provide that service for a small additional fee of $50.00. I want to be set up as an S-corp. Can you do that? S-corp status has to do with your tax status, not your incorporation. It is designated when your federal tax ID is applied for. We can do that if we apply for your tax ID, otherwise we would be glad to explain to you how to do it.

At Whitmore Law Office we unfortunately see the results of do-it-yourself incorporations gone wrong.

One example is a man who used a popular online service to create his corporation. After he completed the process he opened his business bank account. Later he had a personal garnishment and it was served on the bank that had his business account. It turned out that he had mistakenly set up the account under his own Social Security Number, so company funds ended up being garnished.

Upon our firm doing further investigating for him, we found that no notice of incorporation had been filed, so over a year after beginning, his corporation was still not complete.
